Terms of Service
Welcome to ClawUp. By accessing or using the ClawUp platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
1. Definitions
- "Platform" means the ClawUp website, APIs, console, and all related services operated by BotMesh.
- "Agent" means an AI agent runtime instance provisioned and managed by the Platform on behalf of a User.
- "User" or "you" means any individual or entity that accesses or uses the Service.
- "Content" means any data, files, code, messages, or other materials uploaded, generated, or stored through the Service.
2. Account Registration
- You must provide accurate and complete information when creating an account.
- You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
- You must be at least 18 years old or the age of majority in your jurisdiction.
- One person or entity may not maintain multiple free accounts.
3. Service Description
- ClawUp provides managed AI agent runtimes (Agents) that run in isolated containers on our infrastructure.
- Users may create, configure, and interact with Agents through the console, API, or connected channels (Telegram, Feishu, etc.).
- The Platform provides tool marketplace integration (MCP tools), multi-agent team collaboration, and billing management.
- The Platform may provision managed API keys with spending limits for free-tier users.
4. Acceptable Use
- You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations.
- You must not use the Service to host, distribute, or facilitate access to illegal content.
- You must not send spam, phishing messages, or unsolicited communications through the Service.
- You must not attempt unauthorized access to any part of the Service, other accounts, or third-party systems.
- You must not interfere with or disrupt the Service, its infrastructure, or other users' experience.
- You must not reverse engineer, decompile, or attempt to extract the source code of the Service.
5. Prohibited Activities
- Establishing reverse tunnels, proxies, or VPN endpoints from Agent containers (including but not limited to cloudflared, ngrok, frpc, or similar tools) to expose internal services to the public internet.
- Using Agents to host websites, web applications, APIs, or any publicly accessible services without explicit written authorization from BotMesh.
- Running cryptocurrency mining, password cracking, network scanning, or any unauthorized resource-intensive workload.
- Storing or processing content that violates applicable laws, including child exploitation material, terrorism-related content, or content facilitating human trafficking.
- Building or operating competing AI agent hosting platforms using the Service.
- Reselling, sublicensing, or renting access to the Service or individual Agents to third parties.
- Circumventing usage limits, billing controls, rate limits, or resource quotas.
- Using automated means to create accounts, generate free-tier credits, or abuse promotional offers.
6. Billing and Payment
- Fees are based on usage (compute hours, storage) and plan selection. Current pricing is available on the Billing page.
- Fees are non-refundable unless otherwise stated.
- You are responsible for maintaining sufficient account balance to cover your usage.
- Low-balance email warnings are sent at 7 days and 3 days before estimated balance exhaustion.
- When balance reaches zero, all running Agents are automatically stopped.
- Accounts in arrears for more than 14 days may have stored data (workspace, backups, configurations) permanently deleted.
- The Platform reserves the right to modify pricing with 30 days' advance notice.
7. Content and Data
- You retain all rights to Content you upload or generate through the Service.
- You grant the Platform a limited license to process, store, and transmit your Content solely for service delivery.
- The Platform does not access, read, or use your Content for AI model training or purposes beyond service delivery.
- You are solely responsible for ensuring your Content complies with applicable laws and does not infringe third-party rights.
- Conversation data between you and your Agents is stored encrypted at rest.
8. API Keys and Credentials
- You are responsible for the security of API keys you provide to the Platform.
- The Platform stores API keys encrypted at rest and injects them into your Agent runtime at startup.
- The Platform does not log, inspect, or retain API key values beyond what is necessary for service delivery.
- Managed API keys provisioned for free-tier users remain Platform property and may be revoked at any time.
9. Privacy and Data Protection
The Platform collects and processes personal data as described in our Privacy Policy. All user data stored on disk is encrypted at rest. We do not sell or share personal data with third parties for marketing purposes.
10. Warranty Disclaimer
The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied. The Platform does not guarantee uninterrupted, error-free, or secure operation.
11. Limitation of Liability
To the maximum extent permitted by law, the Platform shall not be liable for indirect, incidental, special, consequential, or punitive damages. Total aggregate liability is limited to amounts paid in the 12 months preceding the claim. The Platform is not liable for actions taken by AI agents (Agents) operating under your account.
12. Indemnification
You agree to indemnify and hold harmless the Platform, its affiliates, officers, and employees from any claims, damages, or expenses arising from your use of the Service, your Content, or your violation of these Terms.
13. Account Suspension and Termination
The Platform may suspend or terminate your account for violation of these Terms, with or without prior notice. Upon detection of prohibited activities, immediate suspension may occur. You may terminate your account at any time. Data is retained for 14 days after termination, then permanently deleted.
14. Intellectual Property
The Platform and its original content, features, and functionality are owned by BotMesh and protected by intellectual property laws. The ClawUp name, logo, and branding are trademarks of BotMesh.
15. Changes to Terms
The Platform may modify these Terms at any time. Material changes will be communicated at least 30 days before taking effect. Continued use after changes constitutes acceptance.
16. Governing Law
These Terms are governed by the laws of the jurisdiction where BotMesh is incorporated. Disputes shall first be attempted through good-faith negotiation, then binding arbitration if necessary.
